ACCEPTABLE USE AGREEMENT

This Acceptable Use Agreement (“Agreement”) governs the use of all systems, services, platforms, networks, tools, software, and resources provided by StarByte IT LLC, doing business as StarByte (“StarByte,” “we,” “our,” or “us”).

By accessing, using, or requesting StarByte services (“Services”), Client (“you” or “your”) agrees to comply with this Agreement.

1. Purpose

StarByte provides IT support, consulting, remote access, system administration, and related services intended for lawful, ethical, and responsible use.

This Agreement defines activities that are prohibited and establishes StarByte’s rights to protect its systems, personnel, clients, and reputation.

2. Lawful Use Requirement

You agree to use StarByte Services only in compliance with all applicable laws and regulations, including but not limited to:

  • U.S. federal and state laws

  • California state law

  • Intellectual property laws

  • Computer crime, fraud, and cybersecurity laws

StarByte does not provide legal advice and does not assume responsibility for Client compliance obligations.

 

3. Prohibited Activities

Client shall not, directly or indirectly, use StarByte Services to:

3.1 Unauthorized or Harmful Conduct

  • Attempt to gain unauthorized access to systems, networks, accounts, or data

  • Bypass security controls or authentication mechanisms

  • Introduce malware, ransomware, spyware, or malicious code

  • Perform vulnerability scanning, penetration testing, or exploitation without explicit written authorization

3.2 Illegal, Abusive, or Fraudulent Use

  • Engage in illegal activities, including fraud, identity theft, or financial crimes

  • Transmit or store unlawful, abusive, threatening, or harassing content

  • Conduct phishing, spamming, spoofing, or deceptive practices

  • Use Services for surveillance or monitoring without lawful authority

3.3 Intellectual Property Violations

  • Use pirated, cracked, or unlicensed software

  • Infringe copyrights, trademarks, trade secrets, or proprietary rights

3.4 Network & Resource Abuse

  • Excessively consume resources in a manner that degrades service quality

  • Interfere with or disrupt networks, servers, or third-party services

  • Use Services for cryptomining, botnets, or distributed attacks

3.5 High-Risk or Restricted Activities

  • Support or facilitate hacking, cheating, or exploitation in online games or platforms

  • Host, transmit, or distribute content involving exploitation, violence, or illegal activity

  • Use Services in a manner that poses unreasonable risk to systems, data, or third parties

 

4. Client Responsibility

Client is responsible for:

  • All activity conducted through Client systems or accounts

  • Actions of employees, contractors, or authorized users

  • Maintaining secure credentials and access controls

StarByte is not responsible for misuse by Client-authorized users.

 

5. Monitoring & Enforcement

5.1 StarByte reserves the right to:

  • Monitor usage to the extent reasonably necessary to protect systems and comply with law

  • Investigate suspected violations

  • Suspend, restrict, or terminate Services without prior notice where required to mitigate risk

5.2 StarByte is not obligated to monitor Client activity and assumes no liability for failure to detect misuse.

 

6. Suspension & Termination

StarByte may immediately suspend or terminate Services if Client:

  • Violates this Agreement

  • Creates legal, security, or reputational risk

  • Engages in abusive or threatening behavior toward StarByte personnel

Suspension or termination does not relieve Client of payment obligations.

 

7. Reporting Violations

Clients must promptly notify StarByte of:

  • Suspected security incidents

  • Unauthorized access

  • Misuse of Services

Failure to report may increase Client liability.

 

8. No Waiver of Rights

StarByte’s failure to enforce any provision does not constitute a waiver of its rights.

 

9. Limitation of Liability

To the maximum extent permitted by law:

  • StarByte is not liable for damages arising from enforcement actions taken in good faith

  • StarByte is not responsible for losses caused by Client misuse or prohibited activities

Nothing in this Agreement limits liability for gross negligence or willful misconduct where prohibited by California law.

 

10. Governing Law & Venue

This Agreement is governed by the laws of the State of California.

Any disputes shall be resolved exclusively in the state or federal courts located in Sacramento County, California.

 

11. Acceptance & Electronic Consent

By accessing Services, submitting payment, or checking an agreement box, Client acknowledges that they have read, understood, and agree to this Acceptable Use Agreement.

Client agrees that electronic acceptance constitutes a valid and enforceable electronic signature under the U.S. ESIGN Act and the California Uniform Electronic Transactions Act (UETA).
